1. Acceptance of Terms

By accessing or using the website at www.techfirstsoft.in or engaging TechFirst Software Solutions® ("TechFirst," "we," "us," or "our") for services, you agree to be bound by these Terms of Service. If you do not agree, please do not use our website or services.

2. Services

TechFirst provides custom software development, mobile app development, AI automation, data analytics, digital consulting, and cloud solutions to businesses. The specific scope, deliverables, timelines, and fees for any engagement will be defined in a separate Statement of Work (SOW) or Service Agreement signed by both parties.

These Terms govern your general use of our website and serve as a baseline for all client engagements. In the event of a conflict between these Terms and a signed SOW, the SOW shall prevail.

3. Use of the Website

You agree to use our website only for lawful purposes and in a manner that does not infringe the rights of others. You must not:

• Attempt to gain unauthorised access to our systems or data.
• Transmit malicious code, viruses, or harmful data.
• Scrape, crawl, or harvest data from our website without written consent.
• Impersonate TechFirst or any of our team members.
• Use our website to send unsolicited commercial communications.

4. Intellectual Property

All content on this website — including text, graphics, logos, icons, code, and design — is the property of TechFirst or its licensors and is protected by applicable Indian and international intellectual property laws.

For client projects, intellectual property ownership will be defined in the applicable SOW. Unless explicitly agreed otherwise, custom code developed for a client becomes the client's property upon full payment of all invoices. TechFirst retains the right to use anonymised project details for portfolio and marketing purposes.

5. Confidentiality

Both parties agree to keep confidential any non-public business information shared during an engagement. This obligation survives the termination of any service agreement for a period of two (2) years.

6. Payment Terms

Payment terms are specified in the applicable SOW or invoice. Unless stated otherwise:

• Invoices are due within 15 days of issue.
• Late payments accrue interest at 1.5% per month.
• TechFirst reserves the right to suspend work on overdue accounts.
• All prices are in Indian Rupees (INR) unless stated otherwise and are exclusive of applicable taxes (GST).

7. Warranties and Disclaimers

TechFirst warrants that services will be performed with reasonable skill and care. We do not warrant that:

• Our website will be uninterrupted or error-free.
• Any specific business outcome or result will be achieved from our services.
• Third-party platforms or APIs we integrate will remain available or unchanged.

All other warranties, express or implied, are excluded to the fullest extent permitted by law.

8. Limitation of Liability

To the fullest extent permitted by applicable law, TechFirst's total liability for any claim arising from these Terms or any service engagement shall not exceed the total fees paid by the client in the three (3) months preceding the claim.

TechFirst shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of profits, data, or business opportunities.

9. Termination

Either party may terminate a service engagement by providing written notice as specified in the applicable SOW. Upon termination, the client shall pay for all work completed to date. TechFirst will deliver all client-owned work product upon receipt of final payment.

10. Governing Law and Dispute Resolution

These Terms are governed by the laws of India. Any disputes arising from these Terms or a related service engagement shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration in Bangalore, Karnataka, under the Arbitration and Conciliation Act, 1996. The courts of Bangalore shall have exclusive jurisdiction for matters not subject to arbitration.

11. Changes to These Terms

We may update these Terms from time to time. Material changes will be published on this page with an updated effective date. Your continued use of our website after changes constitutes acceptance of the revised Terms.
